1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Rexultz ("Company," "we," "us," or "our") concerning your access to and use of the Rexultz platform and services.

By accessing or using Rexultz, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Eligibility

You must meet the following requirements to use Rexultz:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under applicable law
• Provide accurate and complete registration information
• Maintain the security of your account credentials

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Services and Subscription

4.1 Service Description

Rexultz provides affiliate marketing management, SEO analysis, content feeds, and related tools. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

4.2 Subscription Plans

Different features are available across various subscription tiers:

• Starter: Starter plan with basic features and limitations
• Professional: Professional plan with full features and priority support
• Enterprise: Enterprise plan with dedicated resources

4.3 Service Levels

While we strive for 99.9% uptime, we do not guarantee uninterrupted or error-free service. Scheduled maintenance will be announced in advance when possible.

5. Payment and Billing

5.1 Fees

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or expressly stated in these Terms.

5.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel anytime from your account settings.

5.3 Price Changes

We may change our pricing with 30 days' notice. Price changes will not affect your current billing period.

5.4 BYOK Billing

When using Bring Your Own Key (BYOK) features, API usage costs are billed directly by the respective service providers (Google, OpenAI, etc.). Rexultz is not responsible for these third-party charges.

6. Acceptable Use Policy

You agree not to use Rexultz to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Engage in scraping, data mining, or automated data collection without permission
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services or servers
• Impersonate any person or entity
• Spam, harass, or abuse other users
• Share your account credentials with others
• Resell or redistribute our services without authorization

7. Intellectual Property Rights

7.1 Our Property

Rexultz and its original content, features, and functionality are owned by us and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Your Content

You retain ownership of content you upload to Rexultz. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display your content solely to provide our services.

7.3 Feedback

If you provide feedback or suggestions, we may use them without any obligation to compensate you.

8. Third-Party Services and Links

Rexultz integrates with third-party services including:

• Affiliate networks (Impact, CJ, ShareASale, Awin, etc.)
• Google Analytics and Search Console
• OpenAI and other AI providers
• SEO and analytics tools

We are not responsible for third-party content, services, or practices. Your use of third-party services is governed by their respective terms and policies.

9. Data and Privacy

Your use of Rexultz is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect, use, and protect your data as described in our Privacy Policy.

You are responsible for ensuring your use of Rexultz complies with applicable data protection laws, including GDPR and CCPA.

10. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including:

• Merchantability and fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of data
• Uninterrupted or error-free operation
• Security or freedom from viruses

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REXULTZ SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption
• Cost of substitute services

Our total liability for all claims shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow limitation of liability for incidental or consequential damages, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Rexultz, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or data

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to contact us at support@rexultz.com to attempt to resolve the dispute informally.

13.2 Arbitration

Any dispute not resolved informally shall be resolved through binding arbitration rather than in court, except where prohibited by law.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive your right to participate in class actions or class-wide arbitration.

14. Termination

14.1 By You

You may cancel your account at any time from your account settings. Cancellation takes effect at the end of your current billing period.

14.2 By Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• Your account remains inactive for 12 months
• We discontinue the service
• Required by law or regulatory authority

14.3 Effect of Termination

Upon termination, your right to use Rexultz ceases immediately. We may delete your data 30 days after termination. Provisions that should survive termination (including payment obligations, warranties, and limitations of liability) will continue to apply.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the platform. Your continued use after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using Rexultz and cancel your account.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rexultz.

16.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in full force.

16.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

16.5 Governing Law

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
